Evaluates the effectiveness of reforms made by the Small Business, Enterprise and Employment Act 2015 to improve the standard of fiduciary duty owed by shadow directors. Reviews the definition of "shadow directors", the traditional scope of their duties, the background to the reform process and key aspects of the 2015 modifications. Discusses the problems of the reforms, including their lack of clarity, and suggests a possible solution.
